These Terms of Service ("Terms") govern your access to and use of the services provided by Locusta AI, a division of Wisconsin Aerial Drone Services LLC ("Locusta AI," "we," "us," or "our"), located in Columbus, Wisconsin.

By accessing or using our website (locusta.ai), platform, or services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Services

Locusta AI provides AI-powered digital marketing services for local businesses, including but not limited to:

• Automated review response generation and management
• Web design and development
• Search engine optimization (SEO)
• Digital marketing strategy and execution
• AI author services and publishing support

We reserve the right to modify, suspend, or discontinue any part of the services at any time with reasonable notice.

2. Accounts

To use certain features of our platform, you must create an account. You agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

3. Google Business Profile Authorization

Our review management service requires you to authorize access to your Google Business Profile through Google's OAuth system. By authorizing access, you:

• Confirm that you have the right to manage the connected business profile(s)
• Grant us permission to read reviews and post responses on your behalf
• Understand that you can revoke this access at any time through your Google account settings

We access only the permissions necessary to provide the service. We do not access your email, contacts, or any data unrelated to Google Business Profile management.

4. AI-Generated Content

Our platform generates review responses and other content using artificial intelligence. You acknowledge that:

• AI-generated responses are suggestions or automated outputs, not professional advice
• You are responsible for any content published to your Google Business Profile, whether auto-published or manually approved
• While we strive for accuracy and professionalism, AI-generated content may occasionally require human review or editing
• We recommend reviewing AI-generated responses for negative reviews before publishing, especially for sensitive topics

5. Subscription & Billing

Paid services are billed on a subscription basis (monthly or annually). By subscribing, you agree to:

• Pay the applicable fees for your selected plan
• Authorize recurring charges to your payment method until cancellation
• Understand that fees are non-refundable for the current billing period upon cancellation

We may change pricing with 30 days' notice. Price changes do not affect your current billing period.

6. Free Trial

We may offer free trial periods for new accounts. At the end of a trial period, your account will convert to a paid subscription unless you cancel before the trial ends. No charges are made during the trial period.

7. Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation:

• Your account remains active through the end of your current billing period
• Automated review responses will stop at the end of your billing period
• You may export your data (reviews, responses, analytics) before your account is deactivated
• We retain your data for 30 days after account deactivation, then delete it

8. Acceptable Use

You agree not to use our services to:

• Post false, misleading, or fraudulent review responses
• Violate any applicable laws, regulations, or third-party rights
• Interfere with or disrupt our services or infrastructure
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the platform for any purpose other than managing legitimate business reviews and marketing

Violation of these rules may result in immediate account termination.

9. Intellectual Property

All content, code, design, and branding on locusta.ai is owned by Locusta AI / Wisconsin Aerial Drone Services LLC. You may not copy, reproduce, or distribute our materials without written permission.

You retain ownership of your business data, including reviews, brand voice settings, and any content you provide. We claim no ownership of your data.

10. Limitation of Liability

To the maximum extent permitted by law, Locusta AI shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of revenue, data, or business opportunities
• Any damages arising from AI-generated content published to your accounts
• Service interruptions, delays, or errors

Our total liability for any claim related to our services is limited to the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that AI-generated content will be error-free, appropriate for every situation, or achieve specific business results.

12. Privacy

Your privacy is important to us. Please review our Privacy Policy for details on how we collect, use, and protect your information.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice on our website. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wisconsin, United States. Any disputes arising from these Terms shall be resolved in the courts of Columbia County, Wisconsin.
